Terms & Conditions

These Terms and Conditions govern the supply of goods and the use of the online trade portal operated by A&R Squared Roscommon Ltd (referred to in these Terms as "A&R Squared", "we", "us", or "our").

By using our trade portal, placing orders, accepting delivery of goods, or otherwise trading with A&R Squared , you agree to be bound by these Terms and Conditions.

For the purposes of these Terms, references to "A&R Squared" shall mean A&R Squared Roscommon Ltd .

Trade Customers Only

A&R Squared supplies goods strictly to registered trade customers.

We reserve the right to refuse supply where trade status cannot be verified.

Acceptance of Terms

Use of the A&R Squared trade portal constitutes acceptance of these Terms and Conditions.

Delivery and acceptance of goods shall also constitute acceptance of these Terms and Conditions.

These Terms and Conditions shall apply to all transactions with A&R Squared and shall take precedence over any terms or conditions submitted by the customer unless expressly agreed in writing by A&R Squared Roscommon Ltd .

Orders

All orders are subject to acceptance and availability.

A&R Squared reserves the right to decline or cancel any order.

Once confirmed, orders may not be amended or cancelled without our consent.

Pricing

All prices are trade prices and are subject to change without notice.

Prices exclude VAT unless otherwise stated.

A&R Squared reserves the right to amend prices without notice where increases are imposed by suppliers or due to factors outside our control.

Credit Terms

Credit facilities may be granted at the sole discretion of A&R Squared and are subject to satisfactory credit approval.

Where credit terms are extended to a customer, payment terms are strictly 30 days from date of invoice .

A&R Squared reserves the right to withdraw credit facilities without notice.

Where accounts become overdue, A&R Squared reserves the right to:

• Suspend further deliveries
• Cancel outstanding orders
• Require pro-forma payment for future orders

Interest on Overdue Accounts

Interest may be charged on overdue accounts at a rate permitted under the European Communities (Late Payment in Commercial Transactions) Regulations.

A&R Squared reserves the right to recover all reasonable costs incurred in collecting overdue balances.

Delivery

Delivery dates are estimates only.

While every effort is made to meet delivery schedules, A&R Squared shall not be liable for delays beyond our control.

Risk in goods passes to the customer upon delivery.

Returns & Damages

Any shortages or damages must be reported within 48 hours of delivery.

Returns will only be accepted with prior authorisation.

Retention of Title

Ownership of all goods supplied shall remain with A&R Squared Roscommon Ltd until full payment has been received for all goods supplied.

Until ownership passes:

• Goods must remain identifiable as property of A&R Squared
• Goods must be stored separately where reasonably possible
• A&R Squared reserves the right to recover goods where payment is overdue
• The customer grants permission for A&R Squared to enter premises where goods are stored for recovery where payment terms are not met

Limitation of Liability

Liability shall not exceed the value of goods supplied.

A&R Squared shall not be liable for indirect or consequential loss.

Governing Law

These Terms and Conditions are governed by the laws of Ireland.
